3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3.2 Account Registration

• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account

4. Acceptable Use Policy

4.1 Permitted Uses

You may use our services for legitimate business purposes, including:

4.2 Prohibited Uses

You agree not to:

5. Subscription Plans and Payment

5.1 Subscription Plans

We offer various subscription plans with different features and usage limits. Current plans and pricing are available on our website and may change with notice.

5.2 Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable unless otherwise specified
• We may change our pricing with 30 days' notice

AlrightyDocs and our platform, including all software, AI models, algorithms, and documentation, are protected by intellectual property laws. We retain all rights to our technology and services.

You retain ownership of your documents and data. However, you grant us the right to use, modify, and display your content as necessary to provide our services.

Any feedback, suggestions, or improvements you provide may be used by us without restriction or compensation.

9. Service Availability and Support

• We aim for 99.9% uptime but do not guarantee uninterrupted service

• Response times vary based on your subscription plan
• We provide reasonable efforts to resolve technical issues

10. Termination

10.1 Termination by You

You may terminate your account at any time by canceling your subscription through our platform or contacting support.

We may suspend or terminate your account if you:

• Violate these Terms or our policies
• Fail to pay subscription fees
• Use our services inappropriately or illegally
• Pose a security risk to our platform or other users

• You may download your data within 30 days of termination

• Outstanding fees remain due and payable

11. Warranties and Disclaimers

EXCEPT AS EXPRESSLY SET FORTH HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Accuracy or completeness of processed data
• Fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted or error-free operation

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALRIGHTYDOCS SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
• DAMAGES RESULTING FROM YOUR USE OF OUR SERVICES
• DAMAGES EXCEEDING THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM

This limitation applies regardless of the legal theory of liability and even if we have been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless AlrightyDocs and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of applicable laws or regulations
• Your infringement of third-party rights
• The content and documents you upload to our platform

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

1. Informal Resolution: Good faith negotiations for 30 days
2. Arbitration: Binding arbitration under Singapore International Arbitration Centre (SIAC) rules
3. Jurisdiction: Singapore courts for any matters not subject to arbitration

15. Force Majeure

We shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

16. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms on our website
• Sending email notifications
• Providing in-app notifications

Your continued use of our services after changes constitutes acceptance of the modified Terms.

17. Severability
